Welcome to whatsthe.app. These Terms of Service ("Terms") govern your access to and use of our website, services, and platform (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By creating an account or using whatsthe.app, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.
2. Description of Service
whatsthe.app is a platform that provides:
- Verified mobile app revenue metrics and analytics
- A marketplace for buying and selling mobile applications
- Communication tools for buyers and sellers
- Integration with revenue tracking services (RevenueCat, Apple App Store Connect, Google Play, Stripe, Adapty)
- Educational resources and documentation
3. User Accounts
3.1 Account Creation
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
4. User Conduct
You agree not to:
- Provide false, misleading, or fraudulent information about your apps or revenue metrics
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service for any illegal purpose or in violation of any laws
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Scrape, crawl, or use automated means to access the Service without permission
- Circumvent any security measures or access restrictions
- Use the Service to distribute malware or harmful code
- Engage in any activity that could damage our reputation or goodwill
5. Listings and Transactions
5.1 Accuracy of Listings
Sellers are responsible for ensuring that all information in their listings is accurate, complete, and not misleading. Verified metrics are fetched directly from connected services but sellers remain responsible for the accuracy of any additional claims.
5.2 No Guarantee of Transactions
whatsthe.app facilitates connections between buyers and sellers but does not guarantee that any transaction will be completed. We are not a party to any transaction between users.
5.3 Due Diligence
Buyers are responsible for conducting their own due diligence before completing any purchase. We recommend verifying all claims independently and consulting with legal and financial professionals.
5.4 Stripe Connect Escrow Service
Payment Services Disclosure
whatsthe.app acts as an intermediary platform. All payment processing services are provided by Stripe, Inc. and its affiliates, including Stripe Payments Company (US) and Stripe Technology Europe, Limited (EU/EEA), which are licensed and regulated payment service providers.
When using our Stripe Connect escrow feature:
- Payment Processing: Funds are collected by Stripe and held in Stripe's safeguarding accounts - they never pass through whatsthe.app's bank accounts
- Platform Fee: A 3% platform fee is deducted from the transaction amount when funds are released to the seller
- Inspection Period: Buyers have a configurable inspection period (default 14 days, maximum 30 days) to verify the app transfer before approving fund release
- Early Release: Buyers may approve early release of funds at any time during the inspection period
- Seller Onboarding: Sellers must complete Stripe Connect account verification (KYC) before receiving funds
Escrow Flow
- Payment: Buyer pays the agreed amount plus platform fee via Stripe
- Holding: Funds are held by Stripe during the inspection period
- Transfer: Seller transfers the app and all associated assets to the buyer
- Verification: Buyer verifies the transfer is complete and approves fund release
- Payout: Funds are released to the seller's Stripe Connect account (minus platform fee)
Dispute Resolution
If a dispute arises during the inspection period:
- Buyer should not approve fund release until the issue is resolved
- Both parties should communicate through our platform chat to document the dispute
- whatsthe.app may mediate disputes but has no obligation to do so
- If no resolution is reached, funds remain held until both parties agree or legal determination is made
- whatsthe.app reserves the right to refund the buyer if the seller fails to complete the transfer
Regulatory Compliance
Our Stripe Connect integration operates under Stripe's regulatory licenses:
- United States: Stripe Payments Company is a licensed money transmitter and registered Money Services Business
- Europe (EU/EEA): Stripe Technology Europe, Limited is authorized as an Electronic Money Institution by the Central Bank of Ireland, passported across all EEA countries under PSD2
- KYC/AML: Stripe handles all Know Your Customer and Anti-Money Laundering compliance requirements
By using Stripe Connect escrow, you agree to Stripe's Connected Account Agreement and Stripe Payments Company Terms.
Country Information Accuracy
When providing country information for Stripe Connect escrow payments, you must:
- Provide accurate country information that matches your legal residence
- Certify that the country you select is correct and will match your identification documents
- Understand that your country will be verified during Stripe Connect account setup
- Acknowledge that providing false or inaccurate country information violates these Terms
Consequences of False Information: Providing false, misleading, or inaccurate country information may result in:
- Immediate suspension or termination of your account
- Payment delays or transaction failures
- Inability to receive payouts through Stripe Connect
- Legal action if fraudulent information is provided
By providing country information, you represent and warrant that such information is accurate, current, and complete. You agree to update your country information immediately if your legal residence changes.
Alternative Payment Methods
Users may also arrange payments through third-party escrow services (such as Escrow.com) or direct wire transfers at their own discretion. See our Payment Options documentation for details.
5.5 Escrow.com Escrow Service
Third-Party Escrow Service
whatsthe.app integrates with Escrow.com, a licensed and regulated escrow service provider, to offer an alternative escrow option for app transactions. Escrow.com services are provided by Internet Escrow Services Inc. (US), Payments Australia Pty Ltd (Australia), and Canadian Payments Inc. (Canada).
When using Escrow.com escrow through our platform:
- Service Provider: Escrow.com acts as the licensed escrow agent, holding funds until transaction conditions are met
- Fees: Escrow.com charges fees based on transaction amount (typically 0.7% - 2.6% for standard service, with minimum fees). See Escrow.com's fee calculator for exact costs
- Inspection Period: Configurable inspection period (typically 1-30 days) during which buyers can verify the app transfer
- Electronic Transactions: By using Escrow.com, parties agree to conduct escrow transactions electronically under applicable law (California Civil Code §1633.5(b))
- Platform Success Fee: For transactions completed via Escrow.com, a 6% success fee applies to the seller (separate from Escrow.com fees) - see Section 5.6 below
Escrow.com Terms
By using Escrow.com through our platform, you agree to Escrow.com's terms, including:
- Terms of Using the Escrow Platform
- Privacy Policy
- General Escrow Instructions and Transaction-Specific Escrow Instructions
- API Terms of Use (if applicable)
Jurisdiction-Specific Terms: Escrow.com operates under different legal frameworks depending on location. California residents are subject to specialized California terms. Australian users are subject to additional Combined Financial Services Guide (FSG) and Product Disclosure Statement (PDS).
Escrow.com Dispute Resolution
Disputes related to Escrow.com transactions are handled according to Escrow.com's dispute resolution process:
- Escrow.com acts as a neutral intermediary and facilitates resolution between parties
- Funds remain held until parties agree or Escrow.com determines resolution based on transaction terms
- whatsthe.app is not a party to Escrow.com transactions and does not mediate Escrow.com disputes
- For disputes, contact Escrow.com support directly through your transaction portal
5.6 Success Fees
Important: Platform Success Fee
For transactions completed via wire transfer (outside of Escrow.com), a 6% success fee applies to the seller.
When a transaction facilitated through whatsthe.app is successfully completed using a direct wire transfer payment method, the seller agrees to pay a success fee equal to 6% of the final transaction amount ("Success Fee"). This fee:
- Is payable within 3 business days of receiving payment from the buyer
- Will be invoiced via Stripe to the seller's registered email address
- Is non-refundable once the transaction is completed
- Also applies to transactions completed through Escrow.com (in addition to Escrow.com's escrow fees)
Enforcement: Failure to pay the Success Fee within the specified timeframe may result in:
- Suspension of your ability to create new listings on the platform
- Periodic payment reminders
- Escalation to collection procedures for outstanding amounts
- Permanent account suspension for repeated non-payment
By initiating a wire transfer payment on the platform, you acknowledge and agree to these Success Fee terms as a binding contractual obligation.
6. API Integrations
When you connect third-party services (RevenueCat, Apple, Google Play, Stripe, Adapty):
- You authorize us to access and display your revenue metrics
- You confirm you have the right to share this data
- You understand we use read-only access and cannot modify your accounts
- You can revoke access at any time by disconnecting the integration
- You remain bound by the terms of service of those third-party platforms
7. Intellectual Property
7.1 Our Content
The Service, including its design, features, and content (excluding user-generated content), is owned by whatsthe.app and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.
7.2 User Content
You retain ownership of content you submit. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.
7.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by us without any obligation to compensate you.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- Any errors will be corrected
- The Service will meet your specific requirements
We are not responsible for the accuracy of user-submitted information or the outcome of any transactions between users.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHATSTHE.APP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Losses arising from transactions between users
- Reliance on information provided through the Service
- Unauthorized access to your account or data
Our total liability shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless whatsthe.app, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
11. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through:
- Informal Resolution: Contact us first to attempt to resolve the dispute informally.
- Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
- Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which whatsthe.app operates, without regard to its conflict of law provisions.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and whatsthe.app regarding the Service and supersede any prior agreements.
